1. INTRODUCTION AND ACCEPTANCE
1.1 Website Operator
These Terms and Conditions (“Terms”) govern your access to and use of the Cambodia Hotel Association website (https://www.cambodiahotelassociation.com.kh or any successor URL), including any content, functionality, and services offered on or through the website (collectively, the “Site”), operated by the Cambodia Hotel Association (“CHA,” “we,” “us,” or “our”).
1.2 Acceptance of Terms
By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Site.
1.3 Modifications to Terms
We reserve the right to modify these Terms at any time in our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised Terms means you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes.
2.1 “Association” refers to the Cambodia Hotel Association, established in 2008 and recognized by the Ministry of Interior of the Kingdom of Cambodia.
2.2 “Content” means all information, text, displays, images, videos, audio, and the design, selection, and arrangement thereof appearing on the Site.
2.3 “Member” refers to any hotel, guesthouse, or accommodation provider who has applied for and been accepted for membership in the Cambodia Hotel Association.
2.4 “User” or “you” refers to any individual or entity that accesses or uses the Site.
2.5 “User-Generated Content” refers to any content, including but not limited to comments, feedback, ideas, suggestions, or other materials that users submit, post, display, or transmit on or through the Site.
3. SITE USAGE TERMS
3.1 Access and Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your information and personal use.
3.2 Prohibited Activities
You agree not to:
- Use the Site in any way that violates any applicable law or regulation
- Use the Site to send, knowingly receive, upload, download, or use any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt the Site, server, or network connected to the Site
- Use any robot, spider, or other automatic device to access the Site
- Introduce viruses, Trojan horses, worms, or other material that is malicious or technologically harmful
- Impersonate or attempt to impersonate CHA, a CHA employee, or another user
- Engage in any other conduct that restricts or inhibits anyone’s use of the Site
3.3 User Account Security
If you create an account on the Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.
3.4 Site Availability
We do not guarantee that the Site will always be available or uninterrupted. We reserve the right to withdraw or amend the Site, and any service or material provided on the Site, in our sole discretion without notice.
4. MEMBERSHIP TERMS
4.1 Membership Eligibility
Membership in the Cambodia Hotel Association is open to legally registered hotels, guesthouses, and accommodation providers operating in Cambodia. Members must comply with all applicable laws, regulations, and licensing requirements established by the Royal Government of Cambodia.
4.2 Membership Application Process
Prospective members must:
- Submit a completed membership application form
- Provide all required supporting documentation
- Meet all eligibility requirements
- Pay the applicable membership fee
- Agree to abide by the Association’s Constitution and By-laws
The CHA Executive Committee reserves the right to approve or reject membership applications at its discretion.
4.3 Membership Categories
The Association offers the following membership categories:
- Full Member: Hotels and accommodation providers operating in Cambodia
- Associate Member: Businesses providing goods or services to the hospitality industry
- Honorary Member: Individuals who have made significant contributions to the hospitality industry
4.4 Membership Fees and Renewal
- Membership fees are determined by the Executive Committee and may be revised periodically
- Fees are non-refundable and non-transferable
- Membership is valid for one calendar year and must be renewed annually
- Renewal notices will be sent to members before the expiration of the current membership period
4.5 Membership Rights and Benefits
Members in good standing are entitled to:
- Participate in Association meetings and events
- Receive industry updates and newsletters
- Access networking and professional development opportunities
- Utilize Association resources and support services
- Be listed in the Association’s directory and promotional materials
4.6 Termination of Membership
CHA reserves the right to terminate or suspend membership if a member:
- Fails to pay membership fees
- Engages in conduct detrimental to the reputation or interests of the Association
- Violates these Terms or the Association’s Constitution and By-laws
- Ceases operations or no longer meets eligibility requirements
5. USER-GENERATED CONTENT
5.1 Content Submission
The Site may contain features that allow users to post, submit, or display content. By providing any User-Generated Content, you:
- Grant CHA a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media
- Represent and warrant that you own or control all rights in and to the content and have the right to grant the license above
- Acknowledge that your content will not be treated as confidential
5.2 Content Standards
User-Generated Content must comply with all applicable laws and regulations and must not:
- Contain defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable material
- Promote sexually explicit material, violence, or discrimination
- Infringe any patent, trademark, trade secret, copyright, or other intellectual property rights
- Violate the legal rights of others or contain any material that could give rise to civil or criminal liability
- Be likely to deceive or mislead any person
- Promote illegal activity or advocate, promote, or assist any unlawful act
- Impersonate any person or misrepresent your identity or affiliation with any person or organization
- Involve commercial activities or sales without our prior written consent
5.3 Monitoring and Enforcement
CHA has the right, but not the obligation, to:
- Remove or refuse to post any User-Generated Content for any reason
- Take any action with respect to User-Generated Content that we deem necessary or appropriate
- Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights
- Terminate or suspend your access to all or part of the Site for any reason
5.4 No Responsibility for User-Generated Content
CHA is not responsible for any User-Generated Content posted by you or any third party. Any opinions, advice, statements, services, offers, or other information expressed or made available by third parties are those of the respective author(s) and not of CHA.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 Site Content Ownership
The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by CHA, its licensors, or other providers of such material and are protected by Cambodian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6.2 Trademark Rights
The CHA name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CHA or its affiliates. You must not use such marks without the prior written permission of CHA.
6.3 Limited License to Users
These Terms permit you to use the Site for your personal, non-commercial use only. You must not:
- Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials
- You may store files that are automatically cached by your web browser for display enhancement purposes
- You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution
6.4 Member Directory and Promotional Materials
By becoming a member of CHA, you grant CHA permission to include your business name, logo, contact information, and other relevant details in the Association’s member directory and promotional materials.
7. PRIVACY AND DATA PROTECTION
7.1 Privacy Policy
All information collected on the Site is subject to our Privacy Policy. By using the Site, you consent to all actions we take with respect to your information consistent with our Privacy Policy.

8. LIMITATION OF LIABILITY
8.1 Disclaimer of Warranties
THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CHA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 Limitation of Liability
TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL CHA, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
8.3 Exclusions
Some jurisdictions do not allow the exclusion of implied warranties or the limitation or exclusion of liability for consequential or incidental damages, so the above limitations may not apply to you.
9. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless CHA, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.
10. DISPUTE RESOLUTION
10.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Cambodia, without giving effect to any principles of conflicts of law.
10.2 Jurisdiction
Any legal action or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the courts of the Kingdom of Cambodia, and you irrevocably submit to the jurisdiction of such courts.
10.3 Informal Resolution
Before filing a claim against CHA, you agree to attempt to resolve the dispute informally by contacting CHA. If CHA is unable to resolve the dispute with you informally, the parties agree to submit the dispute to binding arbitration.
10.4 Arbitration
Any dispute arising from or relating to these Terms or the Site shall be finally settled by arbitration in accordance with the arbitration laws and procedures of Cambodia. The arbitration shall take place in Phnom Penh, Cambodia, and shall be conducted in the English language.
10.5 Limitation on Time to File Claims
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
11. E-COMMERCE COMPLIANCE
11.1 E-Commerce License
CHA operates this Site in compliance with the Law on Electronic Commerce of 2019 and holds all necessary e-commerce licenses and permits as required by the Ministry of Commerce and the Ministry of Posts and Telecommunications of Cambodia.
11.2 Electronic Transactions
Any transactions conducted through the Site, including membership applications and event registrations, are governed by the Law on Electronic Commerce and other applicable Cambodian laws.
11.3 Payment Processing
All payment processing services on the Site are provided by authorized payment service providers in compliance with relevant Cambodian regulations. CHA implements appropriate security measures to protect payment information.
11.4 Consumer Protection
CHA adheres to consumer protection principles as required by Cambodian law, including:
- Providing accurate information about services
- Clear disclosure of terms and conditions

- Secure processing of personal and payment information
- Appropriate complaint handling procedures
12. TERMINATION
12.1 Termination by CHA
CHA may terminate or suspend your access to all or part of the Site, without notice, for any conduct that CHA, in its sole discretion, believes violates these Terms or is harmful to other users of the Site, CHA, or third parties, or for any other reason.
12.2 Effect of Termination
Upon termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution provisions.
13. MISCELLANEOUS
13.1 Entire Agreement
These Terms constitute the entire agreement between you and CHA regarding your use of the Site and supersede all prior and contemporaneous written or oral agreements between you and CHA.
13.2 Waiver
No waiver by CHA of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
13.3 Severability
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
13.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. CHA may assign these Terms at any time without notice or consent.
13.5 Language
These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail.
